A "Member" shall be entitled solely to those privileges explicitly set forth in this Agreement, in consideration for acceptance of this Agreement.

Your TradeLock ID, which consists of a username and password, allows you to access multiple websites within the jewelry industry. When attempting to obtain access to a website requiring a TradeLock ID, simply enter your ID number where directed and you should have immediate access to the website.

TradeLock IDs are considered private, and this security system was designed for the benefit of both you and others in the jewelry industry who wish to provide certain information to other businesses in a confidential manner. Disclosure of your ID to those other than your employees for purposes specific to your company is strictly prohibited. In the event that your designated password is shared with others, your ID may be immediately revoked and the privileged access to TradeLock Password Protected websites shall be terminated. The success of TradeLock Password Protection rests with the holders of TradeLock IDs, and without your cooperation, the security and confidentiality offered by TradeLock Password Protection cannot be achieved.

In the event you are unable at any time to access a TradeLock Password Protected website due to a technical difficulty, TradeLock may attempt to correct the problem, but has no legal liability to correct any problem. Similarly, TradeLock shall not be responsible for any actions taken by any website owner to prohibit TradeLock ID holders from obtaining access to its website. As there is no charge for issuance of an ID to you, TradeLock makes no representations whatsoever regarding the TradeLock Password Protection system and your ability to obtain access to any particular websites. THIS SERVICE IS PROVIDED ON AN "AS IS" BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PERSON OR THOSE ARISING OUT OF A COURSE OF DEALING OR USAGE OF TRADE. BY USE OF YOUR TRADELOCK ID, YOU THEREBY RELEASE TRADELOCK AND ITS AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, AND EMPLOYEES (OR AGENTS OR ANY OF THEM) (COLLECTIVELY, THE "TRADELOCK COMPANIES") FROM ANY AND ALL LIABILITY RESULTING FROM ISSUANCE OF A TRADELOCK ID TO YOU AND YOUR USE OF SUCH ID NUMBER, INCLUDING ANY INABILITY YOU MAY HAVE TO ACCESS ANY OR ALL JEWELRY INDUSTRY WEBSITES WHO MAY OR MAY NOT HAVE TRADELOCK PASSWORD PROTECTION. NO CLAIM MAY BE MADE BY YOU AGAINST THE TRADELOCK COMPANIES RELATING TO TRADELOCK PASSWORD PROTECTION. YOU HEREBY WAIVE AND RELEASE AND AGREE NOT TO SUE UPON ANY CLAIM WAIVED AND RELEASED HEREUNDER.

TradeLock ID holders are deemed to acknowledge and agree that all right, title and interest to TradeLock Password Protection, including without limitation, copyrights, belongs to TradeLock. In no event is TradeLock providing any license to use TradeLock Password Protection other than as provided in these Terms of Use.

TradeLock reserves its right to terminate any ID Holder's access to any or all participating jewelry industry websites at any time for any reason, including, without limitation, for failure of the ID holder to maintain the confidentiality of the ID username and password as required above and/or failure of the ID holder to operate in the jewelry industry at a level or in a manner required by TradeLock in its sole discretion.

Upon issuance of a TradeLock ID to you, you are bound and obligated to abide by the above Terms of Use.
